Purpose:
This decision seeks approval to the arrangements for the provision of highways services from 1 April 2021 to 31st March 2023.
Decision:
To approve the novation of the Highways Services Contract from Conway Aecom Limited to FM Conway Limited.
Reasons for the decision:
Conway Aecom Limited was set up as a vehicle to deliver the LoHAC Framework and will cease to trade from 1st April 2021, or shortly thereafter, when the LoHAC Framework comes to an end. Accordingly, it is necessary for the Highways Services Contract to be novated in order for the two year extension, agreed as a key decision published on 8th January 2021, to be possible.
Conway Aecom and FM Conway have mutually agreed that the Highways Services Contract can be novated from Conway Aecom Limited to FM Conway Ltd. FM Conway Limited and Aecom Limited are shareholders of Conway Aecom Limited.
Alternative options considered:
Officers considered the two main alternatives for service provision from 1st April 2021: a full in-house house highways reactive maintenance service with procurement of a framework for the schemes, planned maintenance and specialist services; and a one year interim arrangement. Both of these options were rejected due to affordability and service delivery risks.
